The role will be based in Wolverhampton and will require the successful person to work 15 hours per month to work with the Board of Trustees reporting to the Chair of the Board. 

Ensuring that the company complies with standard financial and legal practice and to assist with maintaining a high standard of corporate governance. You will be the point of communication between the Board of Directors and the Chief Executive reporting on company procedures and your main duties and responsibilities will include:

 Organise and prepare Agendas and papers for Board meetings, Committees and Annual General Meetings.
 Take Minutes, draft resolutions, lodge required forms and annual returns with Companies House.
 Follow up on actions from meetings.
 Ensure all Board meetings, Committees and General Meetings are held in accordance with the Charity's governing documents and procedures.
 Provide guidance to the Chair, Chief Executive and all Board Directors of their responsibilities under relevant legislation, regulations and corporate governance requirements, ensuring appropriate training is provided on a regular basis.
 In conjunction with the Head of HR, assist with the Charities policies, ensuring they are kept up to date and referred to appropriate Committees for approval.
 Maintain statutory books including registers of members and Directors.
 Contribute to meeting discussions as and when required and advise members of legal, governance implications of proposed policies.
 Monitor changes in relevant Charity and Company legislation taking appropriate action when required.
 Liaise with external regulators and advisors, including lawyers and auditors.
 To undertake these duties with an awareness of and in compliance with, the Grand Theatre’s Equal Opportunities and Health & Safety Policies.
 To liaise with the Chairman in a regular review of this job description so that it adequately reflects the changing needs of the service.
